Freshfields and SJ Berwin take key roles on Pantheon sale

Freshfields Bruckhaus Deringer and SJ Berwin advised on the $775m sale of private equity house Pantheon Ventures to NYSE-listed Affiliated Managers Group (AMG). Freshfields Bruckhaus Deringer LLP advised AMG in connection with its proposed acquisition of Pantheon from Russell Investments, a subsidiary of Northwestern Mutual Life Insurance Company. Under the terms of the purchase agreement, global asset management company AMG will pay approximately $775 million in cash with the potential for additional payments over the next five years. Following the transaction close, global private equity fund-of-funds manager Pantheon’s management team will own a meaningful stake in the partnership and continue to direct the firm’s day-to-day operations. Freshfields corporate partner Matthew Cosans led the team advising on the deal with assistance from corporate senior associates Jennifer Parker and George Swan and associate Kimberly Whitaker. Counsel Mac Mackenzie and associate Mukumbi Litana provided regulatory advice and partner Colin Hargreaves and associate Richard Rudman advised on tax issues. Partner Mark Kalderon and associate Simon Hawkins in the firm’s Hong Kong office also advised. The SJ Berwin team acting for longstanding client Pantheon was led by corporate partner Rob Day. Tax partner Dominic Adams, funds partner Duncan Woollard and financial markets partner Tamasin Little also acted on the deal.
