Amarchand, S&R, Latham and Shearman advise MakeMyTrip on NASDAQ listing
Indian online travel company MakeMyTrip Limited (MMT) has filed its offer documents with the US stock markets regulator, Securities and Exchange Commission (SEC) to list its shares on NASDAQ. The company is looking to raise $100 million from the sale of fresh shares apart from the offer for sale by existing investors. According to VC Circle, the company has indicated that the issue would be priced in the $12-14 per share bracket. MMT is being represented by the Singapore office of Latham & Watkins with Corporate Partner Michael Sturrock along with Capital Markets and India Partner Rajiv Gupta leading the team at Latham. The underwriters led by Morgan Stanley are being represented by the Hong Kong office of Shearman and Sterling with Corporate and Securities Partner Matthew Bersani taking the lead. S&R Associates were the Indian legal counsels to MMT where the team included Partner Sandip Bhagat who was assisted by Venkatesh Vijayaraghavan. Amarchand’s Delhi office acted for the underwriters with Capital Market Partner Prashant Gupta leading the team along with Senior Associate Monal Mukherjee. Mauritian law firm Conyers Dill & Pearman are also advising the issue since MMT is incorporated in Mauritius and controls 100 percent shareholding in the Delaware based Makemytrip.com Inc.
